Distance Sales Agreement

This Distance Sales Agreement (the "Agreement") is concluded electronically through the Mayza platform between the Seller and the Buyer identified below, pursuant to Turkish Consumer Protection Law No. 6502 and the Regulation on Distance Contracts.
By ticking the box confirming that they have read and accepted this Agreement and the Preliminary Information Form at the payment step, the Buyer declares that they accept the provisions of this Agreement.
1. Parties

The Seller is a natural person providing the service in their own name. The Seller currently has no trade name or corporate legal entity.
1.2. Buyer
The Buyer is the natural person who creates an account on the Mayza platform and completes the purchase.
The Buyer's first name, surname, e-mail address, user account, order number, payment date, and other order details consist of the information provided by the Buyer at purchase and recorded in the electronic system.
2. Subject of the Agreement
The subject of this Agreement is to set out the rights and obligations of the parties in respect of the provision of the digital service purchased electronically by the Buyer through the Mayza platform.
3. Essential Characteristics and Price of the Service
The service under this Agreement is Premium subscription access on the Mayza platform, renewing automatically for the chosen period (monthly or yearly). Premium access covers the following:
- An increased AI-assisted exam generation allowance,
- Access to all subject areas,
- Extended chat usage,
- Access to the other features shown as part of the Premium plan on the purchase page.
- Type of service: Digital service. No physical product is delivered.
- Term: The chosen period (monthly or yearly); continues until cancelled.
- Purchase type: Auto-renewing subscription.
- Automatic renewal: Yes. At the end of each period it renews, unless cancelled, at the rate then in effect.
- Cancellation: Available at any time from the membership page of the Mayza account; it takes effect at the end of the current period.
- Total price: The VAT-inclusive amount shown on the purchase page and in the order-specific Preliminary Information Form.
- Additional costs: There are no shipping, physical delivery, or similar additional costs.
The scope of the Premium service is determined by the features shown on the purchase page and in the Preliminary Information Form on the date the Buyer completes the purchase.
4. Order Details
The following details are generated and stored electronically for each purchase:
- Order number
- Order date
- Service: Mayza Premium (chosen plan and period)
- VAT-inclusive periodic price
- Activation date
- Next renewal date
These fields are generated separately for every order. The values specific to your order are shown on the purchase screen, in your order-specific Preliminary Information Form, and on the membership page of your Mayza account.
5. Payment and Payment Provider
Payment is made electronically by credit or debit card through the payment link shown or sent to the Buyer.
Payments are processed via the iyzico infrastructure provided by İyzi Ödeme ve Elektronik Para Hizmetleri A.Ş., an authorised payment and electronic money institution.
Card details are neither seen nor stored by the Seller. The processing of card details on the payment institution's page is subject to that institution's own security and personal data processing policies.
Independently of the payment institution acting solely as an intermediary, the Seller is directly responsible to the Buyer for providing the digital service under this Agreement.
The price is charged again automatically by iyzico from the card on file, for the period the Buyer chose (monthly or yearly), until the Buyer cancels. The Buyer can cancel the subscription at any time from the membership page of the Mayza account; cancellation takes effect at the end of the current period.
6. Performance and Electronic Delivery
The service is activated electronically on the Buyer's Mayza account once successful payment is notified to the Seller.
There is no physical shipment or separate delivery step.
The start and end dates of Premium access are shown on the Buyer's membership or account page.
In the event of a technical or payment-related verification problem, activation may be delayed for the reasonable time needed to verify the transaction.
7. Technical Requirements
The following are required in order to use the service:
- An active internet connection
- A current, supported web browser
- JavaScript and the necessary cookies enabled
- A valid Mayza user account
- A valid e-mail address giving access to the account
Some features of the service may not work correctly on old, outdated, or unsupported browsers, devices, or operating systems.
The Buyer is responsible for ensuring that their device, internet connection, and software environment meet these requirements.
8. Right of Withdrawal and Its Exception
As a general rule, a consumer may withdraw from a distance service contract within 14 days of its conclusion, without giving any reason and without penalty.
However, at the Buyer's express request and with their consent, the Mayza Premium service is activated electronically and performance begins before the 14-day withdrawal period has expired.
Under Article 15(1)(h) of the Regulation on Distance Contracts, the right of withdrawal cannot be exercised for contracts covering services whose performance has begun, with the consumer's consent, before the withdrawal period expires.
Before completing payment, the Buyer expressly accepts the following by ticking a separate confirmation box:
“I request that the Mayza Premium service be started immediately, before the 14-day withdrawal period expires, and I accept that I will not be able to exercise my right of withdrawal once performance has begun.”
Without this express consent the Premium service is not activated and the purchase is not completed.
The unavailability of the right of withdrawal does not remove the Buyer's statutory consumer rights where the service is not provided at all, is provided defectively, does not carry the essential features promised at purchase, or cannot be accessed for a reason attributable to the Seller.
In such cases the Buyer may use the routes set out in the Refund Policy.
9. AI-Assisted Content
Mayza uses AI-assisted systems to provide the user with questions, exams, explanations, study content, chat responses, and similar output.
Content generated by AI:
- May contain errors or omissions,
- May contain out-of-date information,
- May interpret legislation or official exam practice incompletely or incorrectly,
- May not deliver the same level of accuracy for every user.
The content offered on Mayza is provided for education and exam preparation. It does not constitute an official statement by any authority, accountancy services, legal opinion, financial advice, tax advice, or a professional guarantee.
The Buyer is responsible for separately verifying critical information, in particular legislation, exam dates, exam scope, application conditions, and professional practice, against the relevant official sources.
The Seller does not guarantee that every piece of AI-generated content will be entirely accurate, complete, or fit for a particular purpose.
This provision does not remove the Seller's liability arising from intent, gross negligence, defective service, or mandatory consumer legislation.
10. Buyer Account and Account Closure
The Buyer is responsible for ensuring that the information provided when creating the account is accurate, current, and their own.
The Buyer:
- May not share account credentials with third parties,
- May not let others use the account,
- May not take any action aimed at breaching platform security,
- May not use automated queries, bots, scraping, or similar unauthorised methods,
- May not use the platform for unlawful purposes,
- May not consume the service infrastructure excessively or abusively.
In the event of account sharing, abuse, attempted unauthorised access, a security breach, interference with the operation of the system, or a material breach of the Terms of Use, the Seller may:
- Warn the Buyer,
- Temporarily restrict certain features,
- Temporarily suspend the account,
- Close the account, depending on the severity of the breach.
Unless there is an urgent security risk or manifestly unlawful use, the Buyer is given a reasonable explanation and an appropriate period to remedy the breach before the account is closed or access is permanently blocked.
If the account is closed by the Seller unfairly or without justification while the purchased service term is still running, the Buyer's defective-service and refund rights are reserved.
11. Intellectual Property Rights
Unless expressly stated otherwise, the rights in the software, source code, design, interface, database structure, brand, logo, graphics, text, question presentation formats, original content, and other intellectual works relating to the Mayza platform belong to the Seller or to the relevant rights holders.
Payment made by the Buyer does not constitute a transfer of intellectual property rights in the platform or its content.
The Buyer:
- May not copy the platform or its content,
- May not republish it,
- May not sell or rent it,
- May not distribute it commercially,
- May not attempt to decompile it,
- May not reverse engineer it,
- May not extract data in bulk,
- May not use a substantial part of the service to build another product or database.
Mandatory cases permitted by law and express prior written permissions given by the Seller are reserved.
The Buyer retains the rights in their own content uploaded or written on the platform. The Buyer permits such content to be processed to the extent necessary to provide the service, process it, ensure its security, and display it technically.
12. Licence to Use
The purchase grants the Buyer a personal, limited, non-transferable, non-exclusive, non-sublicensable right to use the Mayza Premium service for the purchased term.
This licence is intended solely for the Buyer's personal education and exam preparation.
The Buyer may not transfer, rent, sell, or allow commercial use of their Premium access, account, or right of use by another person.
The licence terminates automatically when the subscription is cancelled or otherwise ends. Any features available to the Buyer under a free account may continue to apply separately.
13. Service Interruptions and Maintenance
The Seller may carry out planned or emergency maintenance, updates, security work, and technical development in order to ensure the security, continuity, and performance of the service.
The service may be temporarily unavailable in whole or in part during such work.
The Seller endeavours, as far as possible, to announce foreseeable and significant planned interruptions in advance. Advance notice may not be given for emergency security interventions.
The Seller takes the technical measures needed to provide the service with reasonable continuity, but does not guarantee that no interruption will occur due to internet infrastructure, cloud service providers, third-party AI services, or systems outside the Seller's reasonable control.
For prolonged interruptions attributable to the Seller that render the service substantially unusable, depending on the nature of the incident:
- The access period may be extended,
- A proportionate refund may be made for the unusable period,
- Another form of remedy may be applied under the Refund Policy.
This article does not limit the Buyer's defective-service rights arising from mandatory legislation.
14. Force Majeure
Events occurring outside the parties' control that cannot reasonably be prevented are deemed force majeure. The following events may, without limitation, be considered force majeure:
- Natural disaster
- Fire
- Epidemic
- War, mobilisation, or acts of terrorism
- Decisions of public authorities
- General electricity or internet outage
- Telecommunications infrastructure failure
- Cyber attack
- Widespread cloud service or data centre outage
- Strike or transport disruption
A party unable to perform its obligations due to force majeure is not held liable to the extent, and for the period, that it is affected.
Where force majeure substantially prevents provision of the service for a prolonged period, either party may terminate the agreement. The Buyer's statutory refund and consumer rights for the period during which the service could not be used are reserved.
15. Other Obligations of the Parties
The Seller is obliged to:
- Provide the service in accordance with this Agreement and the essential characteristics announced at purchase,
- Take reasonable technical and administrative measures for the security of personal data,
- Respond to the Buyer's requests within a reasonable time,
- Retain payment and access records in accordance with the applicable legislation.
The Buyer is obliged to:
- Ensure that the information given at purchase is accurate and current,
- Maintain the security of their account,
- Not share their password with third parties,
- Use the platform in accordance with the law and the Terms of Use,
- Inform the Seller upon noticing unauthorised access or a security problem.
16. Protection of Personal Data
Personal data processed during the purchase and the provision of the service is handled under Personal Data Protection Law No. 6698, the KVKK Disclosure Notice, and the Privacy Policy.
Payment card details are processed by iyzico on its own systems. The Seller does not see or store the full card number or the card security code.
17. Defective Service and Refund Requests
Where the service:
- Is never activated,
- Cannot be used for a reason attributable to the Seller,
- Does not carry the essential features stated at purchase,
- Is provided substantially incompletely or defectively
the Buyer may exercise their rights under the applicable consumer legislation.
Refund or remedy requests may be sent to info@lumiverion.com together with the order number and a description of the problem. Detailed conditions are set out in the Refund Policy.
Each request is assessed taking into account the nature of the incident, the service period already used, technical records, and the applicable legislation.
18. Dispute Resolution
For disputes arising from this Agreement, within the applicable legislation and the monetary thresholds set by the Ministry of Trade for the relevant year, an application may be made to the Consumer Arbitration Committees:
- At the Buyer's place of residence,
- At the place where the consumer transaction took place
For disputes above those monetary thresholds, the Consumer Courts have jurisdiction.
The parties may contact each other directly with a view to settlement before filing a court case or an arbitration committee application. This provision does not limit the Buyer's statutory right of application.
19. Retention of the Agreement
The current text of this Agreement and of the Preliminary Information Form is kept permanently accessible on this page.
The Seller records the version of the Agreement accepted by the Buyer, the date and time of acceptance, and the order details electronically, and retains them for the applicable statutory retention period. The Buyer may request a copy of the version they accepted at any time by writing to info@lumiverion.com.
The payment receipt is sent to the Buyer's e-mail address by the payment institution.
20. Entry into Force
This Agreement is concluded and enters into force electronically upon:
- The Buyer confirming that they have read the Preliminary Information Form,
- The Buyer accepting this Agreement,
- The Buyer separately and expressly requesting that the service be started before the withdrawal period expires,
- The Buyer completing the payment.
Confirmation boxes are not presented pre-ticked.
The Buyer's date and time of acceptance, order number, and the version of the Agreement accepted are recorded electronically.
